Terms of Service

Please read these terms carefully before using Solariz.

1. Introduction and Acceptance

1.1 These Terms of Service ("Terms") form a contract between you ("User" or "you") and Jive LTD (UIC BG206774912), having its registered seat at Petko Karavelov 9, 9000 Varna, Bulgaria ("Jive", "we", "us", operating the Solariz platform).

1.2 By creating an account, clicking "I agree", or otherwise using Solariz's website, mobile apps or associated software (collectively, the "Service"), you confirm that you have read and accepted these Terms. If you do not agree, do not use the Service.

2. Definitions

Capitalised terms have the meanings given in these Terms or in our Community Guidelines (incorporated by reference).

3. Eligibility and Account Responsibilities

3.1 You must be at least 18 years old and capable of forming a binding contract under applicable law.

3.2 You are responsible for (a) safeguarding your login credentials and (b) all activity on your account. Notify us immediately at support@solariz.ai of any unauthorised use.

4. Subscriptions, Fees, Withdrawal & Cancellation

4.1 Plans & Billing. Subscription tiers, prices, and features are described on our pricing page. Prices are shown inclusive of VAT where required by law. We reserve the right to modify prices, plans, features, and limitations at any time. We will notify you via email of any changes.

4.2 Right of Withdrawal (EU Consumers). If you reside in the EU, you may cancel within 14 days of your first purchase and receive a full refund unless you have expressly waived this right by starting to use paid features during that period.

4.3 Cancel-any-time Policy. You may cancel your subscription at any time through Account → Subscriptions → Cancel. Your paid tier benefits will remain active until the end of the current billing period, after which you will not be charged again and your account will revert to the free tier.

4.4 Except as stated in 4.2 or where required by law, fees are non-refundable.

4.5 You authorise us (and our payment processor) to charge your chosen payment method for all fees incurred.

4.6 By continuing to use paid features after any price change, you accept the new pricing. If you do not agree with pricing changes, your sole remedy is to cancel your subscription.

5. Modifications to Service and Terms

5.1 We reserve the right to modify, add, or remove any features, functionality, or aspects of the Service at any time. We will notify you via email of material changes affecting your subscription.

5.2 We may update these Terms at any time by posting revised Terms on our platform. Your continued use of the Service constitutes acceptance of the updated Terms.

6. User Conduct and Prohibited Uses

You agree not to (a) violate any law, (b) infringe third-party rights, (c) reverse-engineer or scrape the Service, (d) interfere with our systems, (e) access accounts or data without permission, or (f) use automated means to extract data. Breach may result in suspension or termination under Section 16.

7. Content Moderation & Notice-and-Action (DSA)

7.1 Our Community Guidelines set out the rules for user-generated content.

7.2 If you believe content violates the Guidelines, email us at support@solariz.ai. We will notify you of our decision and provide an internal complaint-handling mechanism in line with Art. 20 of the EU Digital Services Act.

8. Intellectual Property

8.1 All intellectual-property rights in the Service remain with Jive LTD.

8.2 User Content Licence. By submitting content you grant us a worldwide, non-exclusive, royalty-free licence solely to operate, improve and promote the Service. The licence ends when you delete the content or your account and we have completed technical deletion or anonymisation.

9. Privacy and Data Protection

We process personal data in accordance with our Privacy Policy and the EU GDPR. You have rights of access, rectification, erasure, data portability, and objection as required by law. To request a copy of your data or exercise other data rights, email support@solariz.ai.

9A. Data Requests and Account Management

9A.1 Data Export: You may request a copy of your personal data by emailing support@solariz.ai. We will provide your data in a commonly used electronic format within 30 days.

9A.2 Account Deletion: To delete your account and associated data, email support@solariz.ai with your request. We will process deletions within 14 days, subject to any legal retention requirements.

9A.3 Response Times: We aim to acknowledge all data requests within 48 hours and complete them within the timeframes required by GDPR.

10. Third-Party Services

The Service may interoperate with third-party APIs. We make no warranties regarding such services and disclaim liability for your use of them.

11. Warranties

11.1 The Service must conform to the contract and statutory guarantees under Directive (EU) 2019/770 and Bulgarian consumer law.

11.2 Except as set out above, the Service is provided "as is" and "as available".

12. Indemnification

You will indemnify and hold harmless Jive LTD and its affiliates against third-party claims arising from (a) your breach of these Terms or (b) your violation of applicable law or third-party rights.

13. Limitation of Liability

13.1 Nothing in these Terms excludes or limits liability for (i) death or personal injury caused by negligence, (ii) intent or gross negligence, (iii) breaches of statutory consumer rights, or (iv) any liability that cannot legally be limited.

13.2 For ordinary negligence we are liable only for foreseeable and typical damages; for paid plans our aggregate liability is limited to the fees you paid in the 12 months preceding the event.

14. Governing Law and Jurisdiction

14.1 These Terms are governed exclusively by Bulgarian law, specifically the Bulgarian Obligations and Contracts Act and the Consumer Protection Act where applicable.

14.2 Any and all disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Varna, Bulgaria. You irrevocably consent to this jurisdiction and waive any objection based on forum non conveniens or any other grounds. This includes all contractual and non-contractual claims.

14.3 You expressly waive any right to bring proceedings in any other jurisdiction, including your home jurisdiction, except where such waiver is prohibited by mandatory consumer protection laws.

14.4 Notwithstanding the above, we retain the right to bring proceedings against you in your country of residence for payment collection or intellectual property enforcement.

14.5 For business users: The exclusive jurisdiction of Bulgarian courts is absolute with no exceptions.

15. Termination

16.1 You may terminate your account at any time via emailing us

16.2 We may suspend or terminate for serious breach or legal requirement. Where proportionate, we will give 14 days' notice.

16.3 Upon termination we will delete your data in accordance with our data retention policies and applicable law.

16. Miscellaneous

17.1 Entire Agreement. These Terms and the documents referenced herein constitute the entire agreement between you and Jive LTD.

17.2 Severability. If any provision is held invalid, the remainder remains in force.

17.3 No Waiver. A failure to enforce a provision is not a waiver.

17.4 Assignment. We may assign these Terms in connection with a merger, acquisition or sale of assets. You may not assign without our prior written consent.

17.5 Force Majeure. We are not liable for failure to perform due to causes beyond reasonable control; statutory refund rights remain unaffected.
